Transaction Advisory helps our clients in acquisition and sale of businesses, corporate restructuring, and other transactions. We provide an advice to identify potential risks and propose an optimal structure for the potential transaction


During preparation, planning and implementation phases of the transaction Entrypointgroup supports its clients starting with a transaction strategy and road map, to continue with long- and short listing of potential counterparts, preparation of the information package and a teaser, recommendation on the price range, organization of and dealing with a data room etc


Acting as an adviser on a buy-side Entrypointgroup could prepare the analysis of financial statements, including analysis of revenues and expenses, receivables and liabilities and an overview of relevant transactions with related parties. Together with its partners Entrypointgroup would identify legal loopholes, review key contractual documents, ongoing legal disputes, agreements with key business partners and suppliers, registered intellectual and property rights; validity of certificates and licenses, labor and lease contracts and other relevant documents. We could also support our clients with the tax due diligence to identify potential risks. At closing we provide support in preparing/reviewing transaction documentation, negotiating conditions of the transaction


Following the buy-transaction we could help our clients in sourcing management, rethinking of organizational structure, establishing staffing and reporting, redesign of policies and procedures etc
